Soccer Manager believes that most of the answers to your questions are covered within our Help.

Yes, I think they would lose their club.

Once lost, they will immediately lose control of the Game World, the Game World will become locked and administered by the SMFA, and other Gold Managers will immediately be able to purchase this Game World via the shop as Pre-owned Custom Game World.
