Soccer Manager believes that most of the answers to your questions are covered within our Help.

Ive just put in a £24M bid for a player from a team not in the set up, My mate also put a bid in (£3m plus 2 players) and he won. Which team in real life would over rule £24m CASH for £3m and two more players they dont want and more wages to pay out. I dont think this is fair and true to the game...Very Very Disapointed.
Answers
The other team was probably a big team that cannot be managed in your gameworld. It's probably lost a lot of good players and maybe it needed players more? Those teams usually have loads of money anyway.
