I want to sign a player but the player is valued higher than what my chairman is letting me offer. What is the point of that?

Additional Details

I want to sign Caulker from an unmanaged club within a reasonably dead setup and he is valued at 5.5mil at Yeovil. My chairman won't let me even put in a bid of their chairman's value. What is the point of this? Why can't I sign him? Yeovil are never going to get managed in this setup so I am not ruining the setup by taking their best talent.
